Terms of Service

1. Agreement

By accessing this website or using our products, you agree to these terms. If you do not agree, do not use them. If you are using our products on behalf of an organization, you confirm you are authorized to bind that organization to these terms.

2. Eligibility

You must be at least 13 years old to use our products. If you are under the age of majority where you live, you may only use them with the involvement of a parent or legal guardian.

3. Your account

You are responsible for the activity that happens under your account and for keeping your credentials secure. Tell us promptly at hello@elaristechnologies.com if you believe your account has been compromised. You may stop using the service at any time and ask us to delete your account.

4. Acceptable use

You agree not to:

• Use the service unlawfully, or to harass, threaten, defraud, or harm anyone.
• Upload content that is illegal, infringing, or that you have no right to share — including images of other people posted without their consent.
• Attempt to breach, probe, or circumvent our security or access accounts, data, or systems that are not yours.
• Reverse engineer, decompile, or resell the service, except to the extent that restriction is prohibited by law.
• Interfere with the service’s operation, including through automated scraping, load generation, or abuse of the AI features.

We may suspend or terminate access that violates these terms or that creates risk for us or for other users.

5. Your content

You keep ownership of everything you create in our products. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and transmit that content strictly for the purpose of operating and improving the service for you — for example, syncing it between your devices, or delivering it to a circle you chose to post it in. That licence ends when you delete the content or your account, except for copies retained in routine backups for a limited period.

You are responsible for the content you submit and for having the rights to submit it.

6. Beta software

SidePal is currently distributed as private beta software through TestFlight. Beta software is provided for evaluation and testing. It may be unstable, features may change or be removed without notice, and data loss is possible. Do not rely on beta software as the sole record of anything you cannot afford to lose. We may end the beta programme or revoke access to a build at any time.

7. AI features

Our products include AI-generated coaching and suggestions. This output is produced automatically, may be inaccurate or incomplete, and is provided for general informational purposes only.

It is not medical, psychological, legal, or financial advice. Do not use it as a substitute for a qualified professional, and do not rely on it for decisions about your health or safety. If you are in crisis, contact your local emergency services.

8. Availability and changes

We may change, suspend, or discontinue any part of the service. We will make reasonable efforts to give notice of significant changes, but we do not guarantee uninterrupted or error-free availability.

9. Fees

SidePal is currently made available at no charge. If we introduce paid features, we will present the price and terms before you are charged, and any purchase made through the App Store is also subject to Apple’s terms.

10. Intellectual property

The service, its software, design, and the Elaris Technologies and SidePal names and logos are owned by Elaris Technologies LLC and protected by intellectual property laws. These terms grant you a personal, revocable, non-transferable licence to use the service; they transfer no ownership to you.

11. Third-party services

The service depends on third parties, including Google Firebase, OpenAI, and Apple. Their services are governed by their own terms, and we are not responsible for their acts or omissions.

12. Disclaimers

To the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow these exclusions, in which case they may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Elaris Technologies LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to your use of the service. Our total aggregate liability for all claims relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred United States dollars (US$100).

Nothing in these terms limits liability that cannot lawfully be limited, including for fraud, or for death or personal injury caused by negligence.

14. Indemnity

You agree to indemnify and hold harmless Elaris Technologies LLC from claims, damages, and reasonable legal costs arising from your content, your use of the service, or your breach of these terms.

15. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you breach these terms or if your use creates legal or security risk. Sections that by their nature should survive termination — including sections 5, 10, 12, 13, 14, and 16 — survive it.

16. Governing law and disputes

These terms are governed by the laws of the state in which Elaris Technologies LLC is organized, without regard to conflict-of-laws rules. You and Elaris Technologies LLC agree to the exclusive jurisdiction of the state and federal courts located there, except where the law of your country of residence gives you the right to bring proceedings in your local courts.

17. Changes to these terms

We may update these terms as our products evolve. The date at the top of this page reflects the current version. Material changes will be announced in the app or by email before they take effect, and continuing to use the service after that means you accept the updated terms.
